Terms of Service

Welcome to Serenity. These terms govern the use of our management platform for care homes and senior living facilities. By creating an account or using the service, you accept these terms on behalf of your organization.

1. Medical Non-Liability Disclaimer and Management Nature (SaaS): Serenity is solely an administrative, operational, and financial management software platform. Serenity, its parent entities, directors, officers, employees, and agents are NOT healthcare providers, medical devices, diagnostic systems, or telemedicine services. All clinical decisions, medical prescriptions, medication administrations, diagnoses, and direct resident care remain the exclusive responsibility of the subscribing organization, its physicians, and licensed staff. Automated system alerts and notifications (overdue vitals, medication schedules, supply stock) are passive administrative reminders and do not replace professional human oversight.

2. Accounts, Access, and Security: The organization administrator is responsible for creating staff accounts, assigning roles, and all activities conducted under their organization credentials. Serenity and its personnel are not liable for unauthorized access resulting from failure to safeguard passwords or credentials.

3. Intellectual Property: All intellectual property rights in the Serenity platform, source code, visual design, trademarks, logos, and documentation belong exclusively to Serenity / GMF. Subscription grants the organization a limited, non-exclusive, non-transferable, revocable license during the active service period.

4. Trial Period, Plans, and Billing: New organizations receive a 14-day free trial. Paid monthly plans (Basic, Professional, Enterprise) are processed via Stripe. In case of non-payment, a 7-day grace period is granted prior to account suspension. Suspension does not entail data deletion.

5. Service Availability (SLA) and Warranties: The service is provided 'AS IS' and 'AS AVAILABLE'. Serenity makes commercially reasonable efforts to ensure high uptime but does not warrant uninterrupted operation, nor is it liable for outages caused by scheduled maintenance, cloud infrastructure provider failures, or user internet connectivity issues.

6. Acceptable Use and Content Responsibility: Users agree to: (a) enter accurate, up-to-date, and legally authorized data, (b) use the platform strictly for care facility management, (c) comply with local health data and privacy laws, (d) not attempt to breach multi-tenant organization isolation.

7. Limitation of Liability and Extensive Indemnification: The maximum aggregate liability of Serenity, its parent entities, directors, officers, employees, agents, and affiliates for any claims arising from the platform is strictly capped at the total amount paid by the subscribing organization in the preceding 12 months. Serenity, its directors, and employees shall not be liable for indirect, incidental, consequential, punitive damages, or loss of data. The subscribing organization agrees to defend, indemnify, and hold harmless Serenity, its directors, officers, employees, and agents from any third-party claims, lawsuits, liabilities, penalties, or expenses (including attorney fees) arising from facility operations, medical decisions, malpractice, negligence, or user data entry errors.

8. Referral Program: Each organization receives a unique referral code. Successfully referring a paying entity grants both organizations referral discounts subject to active program terms. Discounts are non-cumulative unless specified.

9. Modifications and Governing Law: Serenity reserves the right to modify these terms with 30 days prior notice. Continued use following notification constitutes acceptance. Disputes shall be governed by applicable laws and submitted to competent courts of jurisdiction.
